DEFINITION

Accompanying Documents

The documents which must be executed and provided to the Manager on behalf of Quanta Holding Co Pty Ltd by an applicant to acquire an Interest are listed on the Application Form.

Asset

The Property within the Trust.

Application

An application for Units in the Trust.

Cash

Cash deposits held in relation to the Trust by an Authorised Deposit-taking Institution (ADI), as granted by the Australian Prudential Regulation Authority (APRA).

Contract

The contracts of sale for the Property between the Seller and the Trustee, on behalf of the Trust.

The Consumer Price Index is an indicator of the inflation rate run by the Australian Bureau of Statistics. It measures the changing price of a fixed basket of goods and services purchased by the average household in 8 capital cities around Australia.

CPI

Debt Facility

The Debt Facility to be provided to the Trust for the Property, which is anticipated to be $3,643,750 at Financial Close.

Debt Lender

The provider of the Debt Facility, anticipated to be a major financial institution regulated by the Australian Prudential Regulation Authority (APRA).

Financial Close

The date upon which the Debt Facility is to be drawn and initial subscribed Trust funds are invested for the purpose of completing the acquisition of the Property.

Fully Leased Yield

The fully leased income (that is current Gross Income plus the income from all current vacancies if they were let at market levels less outgoings) divided by the sale price.

Gross Asset Value

The total estimated value of all Assets within the Trust.

The total amount of loan funds that are to be advanced by the Debt Lender to the Trust under the signed loan documents, which at the time of Financial Close is an amount equal to the Debt Facility, or as amended from time to time post Financial Close.

Gross Facility Limit

Gross Income

The total rental amount including the base rent, all recoverable outgoings, additional sundry income but excluding GST.

This Information Memorandum dated Monday, 23 September 2024.

Interest

A holding in the Trust, consisting of a number of Units.

ICR is a key metric used by financiers. It is calculated by dividing the Net Operating Income before interest, by interest, and is a measure of the buffer against either interest expense increasing and/or income decreasing.

Interest Cover Ratio (ICR)

Investment

The investment by the Trust in the Property.

Investment Management, Administration and Services Agreement (IMAS)

The agreement to be entered into between the Trustee and the Manager pursuant to which the Manager will be engaged as the investment manager, administrator and service provider of the Trust and the Manager will be entitled to the payment of a performance fee.

Investor/Unitholder

A person whose application to subscribe for Units in the Trust is accepted.

Issue Price

$1.00 per Unit for this equity raise.

Loan to Value Ratio (LVR)

A key metric used by financiers. It is calculated by dividing the debt amount by the value of the property or properties expressed as a percentage.
