HOW TO INVEST
Minimum investment The minimum number of Units an Investor can subscribe for is 50,000 at an issue price of $1.00 per Unit. The Trustee will have the right to accept amounts that are different to the minimum investment/ increments at its discretion. Investment by Directors, Shareholders and/or Manager The directors, shareholders or employees of the Trustee, the Manager and their associates and related parties are not excluded from investing in the Trust on the same conditions to those available to other Investors. Investor eligibility The Trust will be an unregistered managed investment scheme and an investment in the Trust is restricted to persons who are not required under the Corporations Act to be given a product disclosure statement, specifically persons who are wholesale investors, professional investors or sophisticated investors (collectively wholesale clients). All applicants must complete and return with their Application Form the wholesale client certificate accompanying this Information Memorandum. Wholesale Investors include: a. Persons who have earned a gross income of at least $250,000 in each of the last two financial years (as confirmed by an accountant); b. Persons who have net assets of at least $2.5 million (as confirmed by an accountant); and/or c. Persons who invest a minimum of $500,000.
Acceptance by the Trustee All Applications are subject to acceptance by the Trustee. The Trustee will have sole discretion as to whether to accept or reject an Application in whole or part. The Trustee will provide written notice if an Application (or part thereof) is rejected. How to Apply for an Interest in the Trust Applications for Interest in the Trust must be made by completing the online Application Form and providing the appropriate identification requirements as per Anti-Money Laundering/Counter Terrorism Financing requirements: • if your Application is for less than $500,000, completing the Wholesale Client Certificate contained within the online Application Form (if required); • attaching to the Application Form and Wholesale Client
Professional Investors include: a. Financial services licensees; or b. Bodies regulated by APRA (other than a Trustee of a super fund as listed in the point immediately below); or c. Bodies registered under the Financial Corporations Act 1974; or d. An exempt public authority; or e. Trustees of a superannuation fund, approved deposit fund, pooled superannuation trust or public-sector superannuation scheme within the meaning of the Superannuation Industry (Supervision) Act 1993 (Cth) and the fund, trust or scheme has net assets of at least $10 million; or f. Persons who have or control gross assets of at least $10 million; or g. Listed entities and their related bodies corporate; or h. Foreign entities that, if established or incorporated in Australia, would be covered by any of the above. A sophisticated investor is a person who is certified by a financial services licensee as having previous experience in using financial services and investing in financial products that allows the person to assess the merits, value and risks of investing in the Trust, the person’s own information needs and the adequacy of the information given by the Manager and by the Trustee. Certificate the Accompanying Documents listed in the Application Form and Anti-Money Laundering/Counter Terrorism Financing requirements; and
• paying the initial Application amount by transfer of CLEARED FUNDS into the Trust lawyer’s trust account, the details of which are available on Application Form completion. Applications Forms must be completed via the online investor portal. The Manager will facilitate the issue of Units in accordance with the arrangement to be entered into between Quanta Holding Co Ltd as an AFSL holder, and the Trustee pursuant to section 911A(2)(b) of the Corporations Act 2001 (Cth).
